Terms of Service
These Terms govern your use of our website and any consulting services provided by Burevo IT Consulting AB (“Burevo”, “we”, “us”).
Company & contact
Burevo IT Consulting AB • Hagaesplanaden 61, 113 27 Stockholm, Sweden
Support: [email protected]
1) Services & scope
We provide consulting, advisory, design and implementation services for integrations, workflow automation, analytics and digital workplace. Specific scope, deliverables, timeline and fees are defined in a written proposal/order/statement of work (“SOW”). If these Terms conflict with an SOW, the SOW prevails.
2) Your responsibilities
Provide timely information, access and feedback; ensure you have rights to supplied materials; appoint a contact authorised to approve scope and deliverables.
3) Fees, expenses & payment
Fees are as stated in the SOW (fixed price, time & materials, or mixed). Reasonable pre-approved expenses may be invoiced at cost. Unless otherwise agreed, invoices are due 14 days from issue; late amounts may accrue interest as permitted by law. Fees are exclusive of taxes.
4) Changes (Change Orders)
Scope changes require mutual written approval and may affect fees and schedule.
5) Acceptance
Deliverables are accepted when they meet the written acceptance criteria in the SOW or, if none, when they materially conform to the agreed scope and no rejection notice is given within 10 business days of delivery.
6) Intellectual property
- Your materials remain yours; you grant us a limited licence to use them to perform the Services.
- Project-specific deliverables created for you become your property upon full payment.
- Our pre-existing IP/tools/templates/know-how remain ours. Where included in a deliverable, you receive a perpetual, non-exclusive licence to use them within that deliverable.
7) Confidentiality
Each party must keep the other’s Confidential Information confidential and use it only for the Services. Exceptions: information that is public, independently developed, or lawfully obtained from a third party. Disclosures required by law are permitted with prior notice where lawful.
8) Data protection
We process personal data per our Privacy Policy. When acting as processor, a DPA applies (in the SOW or separate), including terms on sub-processors and international transfers.
9) Third-party services & APIs
Solutions may rely on third-party platforms, APIs or hosting. We are not responsible for third-party outages, rate limits, deprecations or changes. If such changes impact scope/timelines, we handle them via a Change Order.
10) Warranties & disclaimers
We warrant Services will be performed with reasonable skill and care. Except as expressly stated, Services and deliverables are provided “as is” with no other warranties (including implied warranties of merchantability, fitness for a particular purpose, or non-infringement). We do not warrant any specific business outcome.
11) Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special or consequential damages, lost profits or loss of data.
- Each party’s aggregate liability is limited to the fees paid or payable for the portion of Services giving rise to the claim in the 12 months before the event.
These limits do not apply where liability cannot be limited by law (e.g., willful misconduct).
12) Indemnities
- IP indemnity (us → you): we will defend/indemnify against third-party claims that a deliverable, as supplied by us, infringes IP rights (prompt notice; we control defence). Remedies may include modification, replacement, licence, or a reasonable pro-rata refund.
- Client indemnity (you → us): you will defend/indemnify us for claims arising from your supplied materials/data or misuse of deliverables.
13) Non-solicitation
During the engagement and for 6 months after, neither party will solicit employment of the other’s personnel directly involved (general job ads excluded) without written consent.
14) Subcontractors
We may use qualified subcontractors; we remain responsible for delivery and compliance.
15) Publicity
With your consent, we may reference your company name and a high-level engagement description. No confidential details will be disclosed without permission.
16) Term, termination & effect
Either party may terminate for material breach not cured within 14 days of notice. For ongoing time-based work, either party may terminate for convenience with 14 days written notice (not applicable to fixed-price deliverables already in progress unless otherwise agreed). On termination, you pay for Services performed and approved expenses up to the effective date. Provisions that by nature survive (confidentiality, IP, payment, liability) survive.
17) Force majeure
Neither party is liable for delays/failures caused by events beyond reasonable control (e.g., outages, government action, epidemics, strikes) where reasonable mitigation is taken.
18) Compliance
Each party will comply with applicable laws (anti-bribery, export controls/sanctions, data protection).
19) Governing law & venue
Swedish law applies; disputes are handled by the courts of Stockholm, Sweden, unless we agree to mediation or arbitration.
20) Notices
Send formal notices to the addresses in the SOW or [email protected] (with a copy to the postal address above).
